FutureDev Invest is an investment origination platform focused on structuring creative, compliant, and tangible investment opportunities within the South African market.


Our philosophy is simple:
Identify legitimate, legislated, and commercially viable investment frameworks — and structure them in a way that allows investors to participate meaningfully in real, income-producing assets.


Over the years, our focus has centred on three key pillars:

Section 12J Venture Capital Investment (Launched 2019 – Closed)


In 2019, FutureDev Invest launched a Section 12J Venture Capital Company (VCC) under the Income Tax Act.


Section 12J was a government-approved incentive designed to encourage private investment into qualifying South African businesses. It allowed investors to deduct 100% of their investment against taxable income in the year of investment, subject to compliance with the Act.


Through this structure, we successfully raised in excess of R20 million from a select group of investors.


The fund was carefully structured and delivered strong participation for investors within the legislated incentive period.

Capital was deployed in accordance with the legislative framework, with governance oversight and structured asset allocation. Section 12J has since been sunset and is no longer open to new subscriptions. This chapter represents a completed and successful capital programme within our investment history.

The Section 12J VCC vehicle utilised for this programme was Opentel Technologies (Pty) Ltd, which operated as the approved Venture Capital Company structure through which qualifying investments were raised and deployed in accordance with the Section 12J legislative framework.

Section 12B Alternative Energy Fund (Launched 2023 – Active)


In 2023, FutureDev Invest launched a Section 12B Alternative Energy Investment Fund.


Section 12B of the Income Tax Act allows investors to claim accelerated depreciation allowances on qualifying renewable energy assets, including solar generation infrastructure.


In simple terms, this means investors can benefit from:

  • Participation in income-producing renewable energy assets

  • Tax efficiency through accelerated capital allowances

  • Exposure to South Africa’s growing alternative energy sector

To date, we have raised in excess of R40 million, with an additional R60 million pipeline currently being deployed across qualifying energy projects.


This fund continues to operate and expand as demand for sustainable, decentralised power generation increases across South Africa.


Our focus remains on disciplined structuring, commercial viability, and full compliance with applicable legislation.

Fund Administration & Regulatory Position


The fund administrator for this programme is AAH Investment Properties (Pty) Ltd, a financial services provider registered with the Financial Sector Conduct Authority (FSCA).


AAH Investment Properties (Pty) Ltd operates under a Section 13 juristic representative mandate, ensuring that all financial services activities relating to the structuring and administration of the programme are conducted within the applicable regulatory framework.
